| About | Hello! Graham Segal here. I conduct an independent, Australian sole proprietorship business consultancy trading under the name Chiron! the business doctor. My primary focus is to help small companies with a history of sales growth or high growth potential to raise equity capital for business development or expansion purposes. I also help investors to find suitable investment opportunities. Other services that I provide to clients are set out below. I work from offices in Redcliffe, Queensland, Australia. My work in equity raising is conducted in accordance with the Australian Corporations Act 2001 and a Class Order (viz. , a set of regulations) issued by the Australian Securities and Investments Commission (ASIC) . ASIC is the Australian Governments securities industry regulator. It is the Australian equivalent of the United States Securities and Exchange Commission. This Class Order enables me to provide my clients with three crucial imperatives: -the ability to raise capital by selling securities (that is, by selling shares in their companies), -the appropriate framework for doing so without breaking the law, and -the capacity to complete such activities at modest cost (that is, without incurring the high cost of preparing a prospectus and funding a stock exchange float, the total cost of which can easily exceed $USD 150,000). I can provide clients with these benefits because under the ASIC Class Order, I am legally exempt from compliance with some of the fund raising provisions of the Corporations Act in helping clients to raise capital from the public. In specific terms, I am exempted from the requirement of preparing an expensive prospectus or product disclosure statement and registering it with ASIC before attempting to raise equity capital for my clients. The importance of this is that under the Corporations Act, it is illegal for individuals or companies to raise equity capital from the public without first issuing a prospectus or product disclosure statement that has been registered with ASIC, unless they make such offers through an exempted person such as me. My exemption from some of the fundraising provisions of the Corporations Act permits me to process client requests for equity funding relatively quickly. In the place of a prospectus, I prepare a Class Order Compliant Document (COCOD) that sets out for investors details of the company concerned, its business objectives & how they will be achieved, the anticipated financial returns & details of the equity offer. It identifies for investors the companys corporate structure & commercial governance requirements, & includes other important information such as board representation, senior management experience & financial performance. The COCOD complements the clients business plan. This is a very cost-effective & convenient benefit given to growth companies wishing to raise equity capital, because it removes the financial burden of having to prepare a formal prospectus or product disclosure statement that can easily cost more than $USD 100,000. The other services that I provide include: -a turnaround management service for distressed companies, -crisis management planning & control, -the implementation of effective pricing policies based on profitability objectives, -the implementation of new product or service development programs, -the profit revival of companies requiring performance improvement, & -industrial relations & people management.
